LateFee Terms of Service

1. The agreement
These terms govern your use of LateFee ("LateFee", "we", "us"), a service that connects to your Jobber account to send payment reminders and apply late fees to overdue invoices. By connecting a Jobber account or otherwise using LateFee, you accept these terms on behalf of yourself and the business you represent. If you do not agree, do not use the service.
LateFee is an independent product and is not built, endorsed, or supported by Jobber. "Jobber" is a trademark of Jobber Software Inc.; our use of the name refers only to interoperability.
2. The service
LateFee monitors invoices in your connected Jobber account, sends escalating payment reminder emails to your clients on your behalf, and — when you enable it — creates late-fee invoices in your Jobber account according to the policy you configure. With approval mode on, queued reminders and fees are only sent after you approve them; with approval mode off, they are sent automatically on the schedule you set.
3. Your responsibilities
- You confirm you are authorized to act for the Jobber account you connect and for the business it belongs to.
- Late-fee legality is your responsibility. Interest and late-fee amounts are capped or regulated in many states, provinces, and countries, and often must be disclosed in your contracts or invoices before they can be charged. LateFee applies the policy you configure; it does not check your policy against local law, and nothing in the product is legal, financial, or tax advice. Confirm your fee settings are lawful for your jurisdiction and client contracts before enabling fees.
- You instruct and authorize LateFee to contact your clients by email about their overdue invoices on your behalf, and you confirm you have the right to have them contacted for this purpose.
- You are responsible for the accuracy of your policy configuration (reminder schedule, fee amount and timing, sender name, reply-to address) and for reviewing the approval queue and activity log.
- Keep your Jobber login credentials secure; access to your Jobber account is access to LateFee.
4. Acceptable use
Don't use LateFee to send unlawful, deceptive, or harassing messages; don't attempt to access other users' data; don't probe, overload, or disrupt the service; don't reverse engineer it; and don't resell or white-label it without our written agreement. We may suspend or terminate accounts that violate these rules.
5. Trial, billing, and cancellation
New accounts get a free trial (currently 14 days). After the trial, continued sending of reminders and fees requires a paid subscription, billed through Stripe. Sync and read-only features may continue to work without a subscription. Subscriptions renew automatically until cancelled; you can cancel any time from the billing portal, and cancellation takes effect at the end of the current billing period. We'll give at least 30 days' notice before any price increase takes effect for you.
6. Your data
Data we pull from Jobber (client names, email addresses, invoice details) is processed only to run the service for you, as described in our Privacy Policy. Your OAuth tokens are encrypted at rest. Disconnecting your account or asking us at the address below deletes your stored data within 30 days. If you send us feedback or suggestions, we may use them without obligation to you.
7. Third-party services
LateFee depends on services we don't control — Jobber (data and invoicing), Stripe (payments), Resend (email delivery), Vercel (hosting), and Supabase (database). We are not responsible for their outages, errors, or changes, including Jobber API changes that affect functionality, or email that a receiving mail server delays, filters, or rejects.
8. Disclaimers
LateFee is provided "as is" and "as available", without warranties of any kind, express or implied. We do not warrant that reminders will be delivered or read, that late fees will be paid or are enforceable, that the service will be uninterrupted or error-free, or that it fits your particular purpose.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for all claims arising out of the service is limited to the amounts you paid us in the 12 months before the event giving rise to the claim (or US$100 if you have paid nothing).
10. Indemnification
You will indemnify us against third-party claims arising from your use of the service in violation of these terms or of applicable law — including claims that a late fee you configured was unlawful or that a client should not have been contacted.
11. Termination
You can stop using LateFee at any time by disconnecting your Jobber account. We may suspend or terminate the service for breach of these terms or non-payment. Sections 6 and 8–10 survive termination.
12. Changes
We may update the service and these terms. For material changes to the terms we'll give notice by email or in the dashboard at least 30 days before they take effect; continued use after that constitutes acceptance.
13. Governing law
These terms are governed by the laws of the U.S. state in which LateFee's operator resides, without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located there. Before filing any claim, both sides agree to try to resolve the dispute informally for 30 days.
